Terms & Conditions
These Terms & Conditions govern your use of the tmwgc. website and any engagement with The Madras Wallstreet Growth Consulting, including Labs and Studios services, consults, proposals, scoping, delivery, and payment.
1. Who we are
The Madras Wallstreet Growth Consulting (operating as “tmwgc.”, “we”, “us”, or “our”) is a growth consulting practice rooted in Madras (Chennai), India. We work with SMEs, businesses, startups, personalities, and institutions through two complementary service lines: Labs (technology, product, and digital infrastructure) and Studios (brand, content, and demand generation).
These Terms apply to visitors of our website, people who book a consult, and clients who engage us for paid work. A separate statement of work, proposal, or master services agreement may add to or modify these Terms for a specific engagement; if there is a conflict, the signed engagement documents control for that engagement.
2. Acceptance of these Terms
By accessing our website, submitting a consult request, booking time through our scheduling tools, or engaging our services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site or our services.
If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity. In that case, “you” and “your” refer to that entity.
3. Website use
You may use this website for lawful purposes only — to learn about our work, request a consult, or access materials we make available. You agree not to:
- Attempt to gain unauthorised access to our systems, client areas, or third-party services linked from the site
- Scrape, copy, or republish substantial site content for commercial use without written permission
- Interfere with site performance, security, or other users’ access
- Submit false, misleading, or harmful information through forms, email, or booking tools
- Use the site in any way that violates applicable law
4. Consults and booking
Introductory consults (including sessions booked via Calendly or similar tools on /consult) are exploratory. A consult does not create a client relationship, guarantee pricing, or commit either party to an engagement.
You are responsible for providing accurate contact details and for attending booked sessions on time. We may reschedule or cancel consults for operational reasons and will make reasonable efforts to notify you. Repeated no-shows may result in limited future booking access.
Any recommendations shared on a consult are general guidance based on the information you provide and are not legal, tax, investment, or regulated professional advice unless we expressly agree otherwise in writing.
5. Proposals and engagement
Paid work begins only when both parties accept a written proposal, statement of work, or contract (email acceptance may suffice where stated). Scope, timeline, fees, payment schedule, deliverables, and assumptions will be set out in those documents.
Changes to scope after kickoff may require revised fees and timelines. We will flag material change requests and agree adjustments before continuing out-of-scope work where practical.
Client Success or other productised programmes, if offered, are governed by their specific programme terms in addition to these Terms.
6. Fees, invoices, and taxes
Fees are as stated in the applicable proposal or invoice. Unless otherwise agreed in writing, invoices are payable in the currency and within the payment period stated on the invoice.
Late payment may pause delivery, delay milestones, or incur reasonable late charges where permitted by law and stated in the engagement documents. You remain responsible for applicable taxes (including GST where applicable) unless we agree to a different tax treatment in writing.
Deposits or advance payments, if required, are due before work starts. Refund eligibility for deposits is defined in the engagement documents; where silent, deposits are non-refundable once work has begun, except where required by law.
7. Client responsibilities
Timely delivery depends on your cooperation. You agree to provide access, assets, approvals, feedback, and decision-makers as reasonably required. Delays attributable to missing inputs, late feedback, or changed requirements may shift timelines without reducing fees already due.
You confirm that materials you supply (copy, logos, footage, data, credentials, and similar) do not infringe third-party rights and that you have authority to grant us the licences needed to perform the work.
8. Intellectual property
Pre-existing materials, tools, frameworks, templates, code libraries, design systems, and know-how owned by tmwgc. remain our property. We grant you a licence to use deliverables as needed for the agreed purpose once invoices for those deliverables are paid in full, unless the engagement documents state otherwise.
Upon full payment, ownership of final client-specific deliverables created uniquely for you (for example, a finished website build, brand film master, or campaign assets defined as deliverables) transfers or is licensed as stated in the engagement documents. Third-party fonts, stock, plugins, platforms, and open-source components remain subject to their own licences.
Portfolio and case-study use: unless you opt out in writing, we may reference your name, logo, and non-confidential project outcomes in our portfolio, website, and marketing. Confidential details will not be published without consent.
9. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only to perform or receive the services. Confidentiality obligations do not apply to information that is public (other than by breach), independently developed, rightfully received from a third party, or required to be disclosed by law — in which case the disclosing party will give notice where legally permitted.
10. Third-party services and platforms
Delivery may involve third-party tools (hosting, analytics, advertising platforms, social networks, scheduling, payment processors, AI tooling, and similar). Those services are governed by their own terms. We are not responsible for outages, policy changes, or account suspensions by third parties outside our reasonable control.
Where we set up or advise on accounts in your name, you remain the account owner and are responsible for ongoing compliance, billing, and access after handoff unless we are retained to manage them.
11. Warranties and disclaimers
We will perform services with reasonable skill and care consistent with professional consulting and creative/technology practice. Except as expressly stated in a signed engagement, services and the website are provided “as is” without other warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted availability.
Growth, revenue, ranking, engagement, or performance outcomes depend on many factors outside our control. We do not guarantee specific commercial results unless a signed document expressly states a measurable commitment.
12. Limitation of liability
To the fullest extent permitted by law, tmwgc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from the website or services.
Our aggregate liability arising out of any engagement is limited to the fees you paid us for the specific services giving rise to the claim in the three (3) months preceding the claim, unless a signed contract states a different cap or applicable law requires otherwise.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (including for fraud or wilful misconduct).
13. Indemnity
You agree to indemnify and hold harmless tmwgc. and its team from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the site, materials you supply, your breach of these Terms, or your infringement of third-party rights — except to the extent caused by our wilful misconduct.
14. Termination
Either party may terminate an engagement as set out in the applicable contract. If silent, either party may terminate for material breach not cured within fourteen (14) days of written notice, or for convenience with fourteen (14) days’ written notice.
On termination, you will pay for work performed and non-cancellable third-party costs incurred through the effective date. Sections that by nature should survive (including IP, confidentiality, fees due, limitation of liability, and governing law) continue after termination.
15. Client access area
If we provide login access to a client area or shared workspace, you must keep credentials confidential, limit access to authorised personnel, and notify us promptly of suspected unauthorised use. We may suspend access to protect security or for non-payment.
16. Changes to these Terms
We may update these Terms from time to time. The “Effective date” at the top of this page will change when we do. Continued use of the website after updates constitutes acceptance of the revised Terms. For active paid engagements, material changes that affect that engagement will be communicated and, where required, agreed in writing.
17. Governing law and disputes
These Terms are governed by the laws of India. Courts in Chennai, Tamil Nadu, India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
Before formal proceedings, the parties will attempt in good faith to resolve disputes through discussion within thirty (30) days of written notice of the dispute.
